Terms of Service

1. Acceptance

By creating an account or using DocIQ, you agree to these Terms of Service on behalf of yourself and, if applicable, your organisation. If you do not agree, do not use the service.

These terms constitute a legally binding agreement between you and NeoFlow IT Services ("DocIQ", "we", "us").

2. The service

DocIQ provides AI-powered document extraction, vendor comparison, RFP analysis, and ESG assessment tools for procurement teams. We provide this service on a subscription basis.

DocIQ outputs are AI-generated and for informational purposes only. They do not constitute legal, financial, compliance, or procurement advice. You are solely responsible for verifying outputs before making procurement decisions.

3. Your account

• You must provide accurate information when registering
• You are responsible for maintaining the security of your credentials
• One account per person; do not share login credentials
• You must be at least 18 years old or have authority to bind your organisation

4. Acceptable use

You may not use DocIQ to:

• Upload documents you do not have the right to share or process
• Attempt to reverse-engineer, scrape, or extract training data from the service
• Fabricate or manipulate extracted data to deceive procurement authorities
• Circumvent tenant isolation or access another organisation's data
• Use the service for any unlawful purpose under applicable Indian or local law

5. Your data

You retain ownership of all documents you upload and all extracted results. You grant us a limited licence to process your documents solely for the purpose of providing the service.

You warrant that you have the right to upload any documents you submit for processing, and that doing so does not violate any third-party confidentiality obligations.

6. Subscription and payment

• Free trials are provided as described on the pricing page and may be discontinued at any time
• Paid subscriptions are billed in advance (monthly or annual) and are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

7. Availability and changes

We aim for high availability but do not guarantee uninterrupted service. We may update, modify, or discontinue features with reasonable notice. We will give at least 30 days' notice before discontinuing the service entirely.

8. Intellectual property

DocIQ, its underlying AI models, software, and all related intellectual property remain the property of NeoFlow IT Services. These terms do not grant you any rights to our trademarks, source code, or proprietary technology.

9. Limitation of liability

To the maximum extent permitted by applicable law, DocIQ is provided "as is". We are not liable for procurement decisions made based on DocIQ outputs, for indirect or consequential damages, or for losses arising from service unavailability.

Our total liability for any claim arising from these terms is limited to the fees you paid to us in the 12 months preceding the claim.

10. Termination

Either party may terminate the agreement with 30 days' written notice. We may terminate immediately for material breach of these terms or non-payment. Upon termination, your data will be retained for 30 days then permanently deleted.

11. Governing law

These terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
